    About Ofer

    Adv. Ofer Schweizer is a partner at Yaacov Salomon, Lipschütz Co.

    Ofer heads the firm's Real Estate Department  (together with Adv. Hanoch Morgenstern) and is the mangaing partner of the Planning and Construction Department (together with Adv. Amit Ron). Ofer gained colossal experience in conducting negotiations over the purchase, sale, lease, and rent of real-estate assets in general, and industrial and commercial property in particular.

    Ofer has accompanied comprehensively and coherently processes of assets' improvement, ranging from the initiating and planning stages to the changing purpose of the property in Planning and Licensing Committees of the Israel Lands Authority.

    Ofer accompanies on an ongoing, day to day basis a large sum of commercial companies for dozens of years, and became the first lawyer in Israel that legaly accompanied an unprecedented real estate's project, i.e., the opening of the first open space commercial centre Hutzot Hampiratz, which is located near the city of Haifa. Ofer had provided legal services through the entire project for the construction of the 160,000 Dunam of commercial area. (50,000 Dunam of the built are rented areas).

    In addition, Ofer acquired extensive experience with respect to land transactions taxation, reporting the transactions to the tax authorities, making tax assessments, submitting reservations and appeals to the tax assessments received, conducting negotiations with the local, district and national authorities with respect to the municipal rates and levies, including land betterment surcharge.

    Furthermore, Ofer has experience in submitting plans and requests for permits in the planning institutions as well as in representing clients who have been harmed as a result of plans by submitting objections. Ofer has submitted appeals to Appeals Committees and when needed, has presented administrative injunctions to the courts in administrative affairs and/or submitted appeals and/or appeals to the Supreme Court.

    David specializes in corporate and commercial transactions, with an emphasis on technology. He has represented publicly traded foreign companies in their acquisitions of Israeli public and private companies and has dealt with the Israeli aspects of the divestments of worldwide divisions by multinational companies.

    Adv. Merav Arad is a partner at Yaacov Salomon, Lipschutz & Co., and leads the firm’s legal professional-practice in the field of antitrust law, as well as the corporate and commercial department of the firm’s Haifa offices. 

    Applying over thirty years of extensive professional experience and a profound practical understanding of corporate, commercial, and finance transactions, Merav specialises in a varied cross-section of commercial, corporate and antitrust law.     The competition and antitrust  professional-practice, led by Merav, provides the firm’s clients with expert opinions and legal advice, either as pre-transaction consultation or to facilitate and resolve various antirust issues. The department also assists companies in obtaining regulatory approvals from the Israel Antitrust Authority for mergers  transactions, as well as for agreements containing restrictive provisions, and provides legal advice with respect to matters involving potential restrictive trade practices, abusive behaviour and "concentration groups" (intended to deal with oligopolistic markets). In addition, Merav joins forces with the firm’s litigation team, representing clients in antitrust legal proceedings before the Antitrust Tribunal.

    Merav and the antitrust department of professional-practice also work closely with companies to create, integrate and implement Antitrust Compliance Programmes  structured to fit the specific needs of each entity as  revealed in a preliminary exposure & compliance survey – all in accordance with the Antitrust Authority’s guidelines. 

    Merav is a member of the Israel Bar Association’s Antitrust Committee.

    The Haifa branch commercial department headed by Merav provides the firm’s clients with ongoing comprehensive legal services in the fields of corporate law (mainly companies and cooperative associations), and various aspects of corporate governance, as well as represent the firm’s clients in ongoing transactions, involving a wide array of topics, including planning developing and manufacturing agreements, production-lines purchase deals, contracts, freelance services, joint ventures, tenders – including in the field of public transportation - investments agreements  and other commercial agreements .

    Merav graduated from the Hebrew University of Jerusalem (LL.B) from the class of 1983. 

    Following her internship at the State Attorney Office (under the former State Attorney of Israel, late Adv. Yonah Blatman), as well as at the Jerusalem District Court (under Hon. Judge Shalom Brenner), Merav began her professional career as a corporate counsel and corporate secretary at Electrochemical Industries (Frutarom) Ltd.

Her practice includes accompanying start-ups through the process of obtaining funding from private investors and venture capital funds; representation of investors in hi-tech companies and start-ups during various financing rounds; drafting licensing and other commercial agreements; representing clients in technology-related joint ventures; and mergers and acquisitions of companies in the fields of technology, internet, energy and more. In addition, Chana provides ongoing advice on matters of corporate governance, management, boards of directors, and advises on decisions of the various corporate organs.
